These Terms of Use (hereinafter the "ToU") aim to define the terms and conditions under which EduTools (hereinafter the "Publisher") makes the EduTools platform (hereinafter the "Service") available and under which the User accesses and uses it.
Use of the Service is subject to express acceptance of these ToU, materialised by the checkbox present during registration.
The Publisher reserves the right to modify the ToU at any time. Substantial modifications will be notified to the User by email and/or by a banner on the Service at least 30 days before they take effect. Failing acceptance, the User may terminate their account free of charge.
Registration is open to any adult natural person with the legal capacity to contract, as well as to legal entities represented by an authorised agent.

The User is solely responsible for any activity carried out from their account. Any fraudulent registration or registration made in the name of a third party without authorisation will result in the immediate deletion of the account.
EduTools provides Users with a set of interactive teaching tools intended for teaching, training and leading meetings. The Service notably includes:
The features and quotas available depend on the plan subscribed to by the User. The precise description of each plan is accessible on the Service's pricing page.
The User undertakes to:
All constituent elements of the Service (source code, interface, logos, texts, graphics, databases) are the exclusive property of the Publisher or its partners, and are protected by French and international legislation relating to intellectual property.
The User remains the sole owner of the User Content they create, import or host on the Service (quizzes, flashcards, videos, documents, teaching texts).
By using the Service, the User grants the Publisher a non-exclusive, royalty-free licence, worldwide and for the duration of their use of the Service, for the sole purpose of hosting, storing, reproducing, displaying and transmitting this User Content, to the extent strictly necessary for the provision of the Service.
This licence terminates automatically upon deletion of the User's account or upon removal of the content. The Publisher claims no commercial exploitation right over the User Content.
The User warrants that they hold all the necessary rights over the Content they upload (copyright, image rights, authorisations of minor students, etc.) and indemnifies the Publisher against any third-party claim based on this Content.
The Publisher undertakes to make every effort to ensure the availability of the Service 24/7, without guaranteeing the total absence of interruption. Maintenance operations may be scheduled, preferably outside pedagogical usage hours.
The Publisher's liability cannot be engaged:
In any event, the Publisher's cumulative liability, all damages combined, cannot exceed the amount of the sums actually paid by the User in respect of the twelve (12) months preceding the triggering event.
The processing of personal data as part of the Service is governed by the privacy policy, which forms an integral part of these ToU. The User acknowledges having read it.
The User may terminate their account at any time, without reason or notice, from the My profile page ("Delete my account"). Termination results in the permanent deletion of the account and all associated data, subject to legal retention obligations.
The Publisher reserves the right to suspend or delete, without notice or compensation, any account used in violation of these ToU, of applicable legislation, or presenting a risk to the security of the Service or its other Users. Sums already paid will not be refunded in the event of termination for fault attributable to the User.
These Terms of Sale (hereinafter the "ToS") apply to any subscription to a paid plan of the EduTools Service by a User (hereinafter the "Customer").
They supplement the ToU. In the event of a contradiction between a provision of the ToU and a provision of the ToS, the ToS shall prevail for everything concerning the commercial relationship.
The EduTools Service is intended exclusively for professionals (teachers, independent trainers, educational institutions, training centres, companies) acting within their professional activity. By subscribing, the Customer declares and warrants that they act as a professional, for the purposes of their business.
These Terms of Sale therefore govern a business-to-business ("B2B") relationship. The protective provisions of the French Consumer Code (Code de la consommation) reserved for consumers do not apply.
The commercial offers (Standard, Premium plans, Institution, Training Centre, Company offers…) are described on the pricing page accessible from the Service's home page. Each offer specifies the included features, applicable quotas, subscription periodicity and price.
Prices are indicated in euros (€). Incl. tax — VAT not applicable, art. 293 B of the French General Tax Code (CGI).
The Publisher reserves the right to modify its prices at any time. Any modification will be notified to the Customer by email at least 30 days before it takes effect. The Customer will then have the possibility to terminate their subscription before the new price applies.
Subscription takes place online from the Service. The process involves:
Order confirmation is sent by email. The contract is concluded as soon as the payment is validated by the payment provider.
Payment is made exclusively by bank card, via the payment provider Stripe (Stripe Payments Europe, Ltd.), which ensures the security of transactions in accordance with PCI-DSS standards. The Publisher at no time has access to the Customer's complete banking details.
Payment is debited upon subscription, then upon each renewal of the subscription period. In the event of a payment incident (expired card, bank refusal, etc.), the Publisher reserves the right to suspend the Service after notification and without further notice if the payment is not regularised within 7 days.
An invoice is issued by the Publisher for each payment and made available to the Customer by email and in their customer account on edu-tools.fr. The Customer is required to keep their invoices in accordance with applicable accounting obligations.
Subscriptions are taken out for an initial period corresponding to the chosen periodicity (monthly or annual). They are tacitly renewed for successive periods of the same duration, unless terminated under the conditions set out below.
The Customer may terminate their subscription at any time from their personal space. Termination takes effect at the end of the current subscription period. Sums already paid in respect of the current period are not refunded.
The Publisher may terminate the subscription in the event of a serious breach by the Customer of their obligations (default of payment, violation of the ToU, fraudulent use) after a formal notice that has remained without effect for 15 days.
As the EduTools Service is subscribed by professional Customers for the purposes of their business, the right of withdrawal provided for in articles L221-18 et seq. of the Code de la consommation (French Consumer Code), reserved for consumers, does not apply.
The Service is a digital service whose performance begins upon validation of the subscription. The professional Customer acknowledges immediate benefit of it and waives, to the extent necessary, any cooling-off or withdrawal period.
The Publisher undertakes to provide the Service with due care and in accordance with its commercial description. As the legal guarantees of conformity under the Code de la consommation (French Consumer Code) are reserved for consumers, they do not apply under these B2B Terms of Sale concluded between professionals.
The Customer does, however, benefit from the warranty against hidden defects provided for in articles 1641 and following of the Code civil (French Civil Code), applicable between professionals.
For any question, complaint or assistance request, the Customer may contact the Publisher at contact@edutools.fr. The Publisher endeavours to respond to any complaint as soon as possible and to favour an amicable resolution of any disputes.
Neither party may be held liable for a breach of its obligations resulting from a case of force majeure within the meaning of article 1218 of the Code civil. During the period of the force majeure, the performance of the obligations concerned will be suspended.
These General Terms are governed by French law.
Failing an amicable resolution, any dispute relating to their formation, interpretation or performance shall be subject to the exclusive jurisdiction of the Commercial Court of Évry (1 rue de la Patinoire, 91011 EVRY CEDEX), notwithstanding multiple defendants or third-party proceedings.
This Annex forms an integral part of the General Terms and constitutes the data processing agreement required by Article 28 of the GDPR.
For the data of learners (pupils, trainees, participants) entered or generated in the course of the use of the Platform, the Customer (trainer, training centre, institution or company) acts as controller and EduTools acts as processor. For the data of the Customer's own account (credentials, billing, support), EduTools acts as controller, in accordance with the Privacy Policy.
EduTools processes learners' data on behalf of the Customer, for the sole purpose of providing the features of the Platform (interactive rooms, quizzes and results, document upload, chat, collaborative activities, attendance and progress tracking), for the entire duration of the contract.
Data subjects: the Customer's learners, including, where applicable, minors. Categories of data: declared identity (surname/first name or pseudonym, group), traces of educational activity (attendance, answers, results, progress), content produced (messages, questions, sticky notes, uploaded files). The Customer undertakes not to have sensitive data (Article 9 GDPR) entered into the Platform.
Upon termination or deletion of the account, all data of the Customer and its learners is deleted from the Platform (self-service deletion tool in the profile; prior export available in JSON format). Independently of the contract, learners' activity data is automatically purged in accordance with the retention periods published in the Privacy Policy.
The Customer warrants that it has a legal basis for the processing of its learners' data, that it informs the data subjects (and, for minors, their legal representatives) in accordance with Articles 12 to 14 of the GDPR, and that it collects only the data that is necessary — the Platform notably allows use under a pseudonym, without full civil identity.
